1. Represented clients in audit by Internal Revenue Service through the IRS Appeals Division concerning valuation issues
2. Implemented transfers to younger generation through use of grantor retained annuity trusts and installments sales to intentionally income tax defective grantor trusts as well as transfers using family limited partnerships and family limited liability companies
3. Represented executors and personal representatives in all aspects of Massachusetts and Florida estate administrations, in the preparation of applications for appointment, inventories, accountings, federal and state estate tax returns, and allocations of estate assets among beneficiaries
4. Developed gift program to transfer assets to lower generation family members with minimal tax consequence
5. Represented U.S. Distribution company in $50,000,000 complex cross-border sale/joint venture transaction.
6. Represented founder of start up in $1,000,000 cash out to a venture capital firm.
7. Successfully represented commercial landlord to obtain large monetary jury verdict against former tenant.
8. Successfully represented homeowners association against real estate developer.
9. Successfully represented engineer in complex commercial litigation.
10. Represented local importer in acquisition of land and subsequent $6.75 million construction loan for construction of a new warehouse facility.

14. Real Estate counsel to local development company. Wrote title to and negotiated $15 million loan facility with equity investment component for construction of workforce housing project in Worcester.
15. Counsel to private investor in acquisition of distressed service company, which included negotiating the acquisition of company's debt by a third party.
16. Represented purchaser in financed acquisition of $4 million Nissan car dealership
17. Coordinated a national consumer class-action multi-jurisdictional lawsuit for defendant.
18. Company counsel to national medical imaging and diagnostic facility business in $10.5 million private placement by a national investment bank

20. Represented multi-national materials testing company in $120 million stock sale to private French company
21. Represented venture capitalist in a $12.5 million preferred stock investment in technology based start-up.
22. Represented buyer in $1.3 million transaction for a bar, restaurant and mixed use building, including transfer of liquor license
23. Represented seller in $3.5 million transaction for multi-location retail lumber sales business
24. Successfully prosecuted multiple trademarks for shoe designer, internet access provider and entertainment group.
25. Successfully defended age discrimination claim and race based claim on behalf of employer using a creative defense not yet recognized by the SJC
26. Successfully defended pregnancy/disability claim on behalf of employer based on defense that employee would have been terminated despite informing the employer that she was pregnant and required a leave of absence
27. Successfully defended business owner charged with sexual harassment and adverse personnel action arising from refusal to accede to the business owner’s sexual demands
28. Successfully represented insurance agency in enforcing a non-competition/non-solicitation agreement against a former employee salesperson whom had access to the agency’s customer list
29. Represented owner of multiple rental properties in $4 million refinance and defeasance of securitized loan
