MA CORPORATIONS MUST APPOINT A "RESIDENT AGENT"

In our Spring 2004 issue of the Schlossberg & Associates, P.C. Newsletter, we were one of the first law firms in Massachusetts to publish a report informing you of the changes in the laws governing Massachusetts business corporations. As we reported then, one of the largest changes is the new requirement that all corporations appoint a resident agent for service of process. Many of you reacted and consequently S&A took the appropriate actions to make sure that a resident agent was appointed in a timely fashion. At that time, we did not know what the penalties were going to be for noncompliance, but now we know that unless a corporation has appointed a resident agent, the corporation will not be able to make any filings at the Secretary of State's office, including filing Annual Reports. The filing fee associated with the appointment of the resident agent is $25 but if it is done online, then there is no filing fee. However, the filing of the correct form alone does not make the appointment of the resident agent fully effective. There are other steps that need to be taken. Please contact us as soon as possible so that we may appoint a resident agent for your corporation.
